Governance Committee
The Governance Committee assists
the Board in all matters concerning corporate governance
and the functioning of
the Board. The Committee sets criteria for prospective
members of the Board, and selects and recruits director
candidates for consideration by the Board and the shareholders.
It is also responsible for the Board committee structure,
committee membership and the committee charters. The
Committee developed, and periodically reviews, the
Corporate Governance Guidelines. The Committee meets at
least three
times per year.
